企業合併政令、来月施行へ

商務省（MoC）は、政府が2023年3月6日に承認し、フン・セン首相が署名した企業合併の要件と手続きに関する政令が、2023年9月6日に発効することをビジネスマンに警告する発表を行った。
先週土曜日に発表されたMoCの発表によると、この政令は、複数の企業を1つに合併または統合する際に、ビジネスパーソンが果たすべき3つの主な義務（企業合併に関する事前通知、企業合併後の通知、合併した企業の登録）を定めている。
「この政令の目的は、適用される規制を遵守しない、あるいは違反する可能性のある企業結合を防止する一方で、企業結合から生じる競争への潜在的な影響を審査、監視、評価することである。
KB PRASAC Bank Plcは昨日、カンボジアのマイクロファイナンス機関であるPRASAC MFI Plcと韓国の商業銀行であるKookmin Bank Cambodia Plcの合併により設立され、MoCから統合の最終承認を受けた商業銀行が昨日より正式に営業を開始したと発表した。
プラザックMFIの社長兼CEOであり、現在はKB PRASAC Bank PlcのCEOであるウム・サム・ウン氏は、この発表の中で、銀行事業の統合は驚くべき進展であると述べた。「金融機関の合併は……強力な相乗効果を意味し、（国内の）顧客により多くの利益をもたらすでしょう」。とサム・ウン氏は語った。

会計監査事務所K Professional Accountants (KPA)の監査・会計・税務ソリューションのマネージング・パートナーであるクン・ダリス氏は、カンボジアにおける垂直統合、水平統合、多品目統合の3つのカテゴリーを主な対象としているが、例外もあるとクメール・タイムズに語った。
垂直合併とは、補完的な製品やサービスを持つ2つの異なる企業が合併する新規事業を指し、水平合併とは、類似の製品やサービスを生産・供給する2つの企業間の合併を意味し、多品種合併とは、無関係の製品やサービスを供給する2つの企業間の合併を指すとダリス氏は説明した。

以前は、合併や買収は政府への届け出なしに行われていた。つまり、そのような取引は法律に基づいておらず、彼らはそれを望んでいた。しかし、今は経済と市場のバランスを取るために存在する法律に基づいて取引を行わなければならない。
